Company and legal
Terms of Sale and Website Use
The terms that apply to Sofitrek's website, accounts, RFQs, quotations, online orders, payments, shipping, returns, product information, and disputes.
These Terms of Sale and Website Use ("Terms") govern access to the Sofitrek website and transactions with Farhan Maroufsofian, doing business as Sofitrek ("Sofitrek," "we," "us," or "our"). By using the website, creating an account, submitting an RFQ, accepting a quotation, or placing an order, you agree to the Terms that apply to that activity.
If you do not agree, do not use the affected service or submit the transaction. Nothing in these Terms limits a right or liability that cannot lawfully be limited.
1. Seller and independent-distributor status
The seller is Farhan Maroufsofian, doing business as Sofitrek, based in Mission Viejo, California.
Sofitrek is an independent distributor of electronic and industrial components. Manufacturer names, trademarks, logos, and part numbers identify products and do not imply affiliation, endorsement, authorization, or a manufacturer-backed warranty unless expressly stated.
Manufacturer warranties, software access, firmware support, licenses, calibration programs, service networks, and authorized-channel benefits may not apply to independently distributed inventory.
2. Who may use the service
You must have legal capacity to use the service and enter the transaction. When acting for a company or another person, you represent that you have authority to bind that party and provide its information.
You must provide accurate, current, and complete account, order, payment, shipping, consignee, end-user, end-use, tax, and compliance information. You may not impersonate another person or use an account, payment method, carrier account, address, or business identity without authorization.
3. Accounts and credentials
You are responsible for activity through your account and for protecting passwords, passkeys, recovery methods, and email access. Notify Sofitrek promptly about suspected unauthorized access.
Sofitrek may suspend sessions or accounts to investigate security, fraud, abuse, chargebacks, export, sanctions, or other material concerns. Account closure does not cancel an accepted order, return, payment, dispute, or legal obligation unless Sofitrek confirms that result in writing.
4. Catalog and website information
Sofitrek works to present useful part numbers, descriptions, specifications, photographs, pricing, quantity, condition, packaging, documents, and availability. Catalog information can contain errors, omissions, out-of-date fields, standardized wording, or third-party data.
The website is not engineering, safety, customs, tax, export, or legal advice. You must verify material requirements against authoritative documentation and the exact product and order.
Product Information and Documentation and Sourcing and Product Condition explain the catalog conventions used by Sofitrek. The accepted product page, quotation, order confirmation, and these Terms control the transaction.
5. Product condition and item-specific terms
Condition labels have the meanings stated in Sourcing and Product Condition. A condition label is not, by itself, a test result or certification. "New" does not by itself promise a current date code, factory seal, original full packaging, authorized-channel traceability, or manufacturer warranty.
Packaging, date code, lot code, country of origin, test status, traceability, certificates, accessories, firmware, and other attributes are included only when the product page, quotation, order confirmation, or written agreement expressly includes them.
No inspection or testing should be inferred merely because an item is offered for sale. Any represented check or test is item-specific and limited to the scope expressly stated on the product page, quote, or other written order record.
If Sofitrek expressly states that an item-specific test was performed, only the exact test named, the identified units or sample, and the stated scope and result apply. No broader testing, safety, authenticity, certification, or traceability conclusion should be inferred.
Product-specific written terms control over a general catalog statement for that product to the extent permitted by law.
6. RFQs and quotations
An RFQ, BOM upload, sourcing request, support message, or availability inquiry is not an order, acceptance, or promise.
A quotation may state the offered product, quantity, condition, source, price, currency, shipping, tax, lead time, validity period, any expressly stated item-specific test and its scope, documentation, warranty, returnability, and other terms. The quotation expires at the stated time and remains subject to availability and compliance review until accepted according to its instructions.
An accepted quotation may require a separate checkout, payment, purchase-order acceptance, or order confirmation. Sofitrek is not bound by terms printed on a buyer's purchase order, portal, vendor form, or other document unless Sofitrek expressly accepts those terms in writing.
7. Prices, currency, and errors
Prices are shown in the stated currency and may change before order acceptance. Quantity breaks apply only to the qualifying quantity in the accepted transaction.
Taxes, shipping, duties, brokerage, currency conversion, bank fees, and optional services are separate unless shown as included.
Sofitrek may correct an obvious pricing, quantity, description, or system error before acceptance. If payment was collected for an order Sofitrek cannot accept because of a material error, Sofitrek will notify the buyer and release or refund the affected amount. After acceptance, a material change requires the buyer's agreement unless law provides another remedy.
8. Order submission, payment, and acceptance
Submitting checkout is an offer to buy under the displayed order and policy terms. Payment authorization or receipt does not by itself constitute acceptance.
Sofitrek may review inventory, price, address, payment, fraud, export, sanctions, end-user, end-use, and other material facts before acceptance. An order is accepted when Sofitrek sends an acceptance notice or begins an authorized fulfillment step identified as acceptance in the customer account.
Sofitrek may reject or cancel an order before acceptance. If only part can be accepted, Sofitrek may seek approval for a partial order or cancel and refund the unavailable part.
The accepted order record, including the applicable policy revisions, controls the transaction. Sofitrek will not knowingly substitute a different manufacturer part number without the buyer's written approval.
9. Payment processing
Stripe processes card payments made at checkout. Sofitrek stores limited payment references and transaction details, not the full card number or card security code.
You authorize the displayed charge and represent that you may use the selected payment method. A processor may require authentication, decline a transaction, place an authorization hold, or review fraud risk.
Chargebacks and disputes must be truthful. A buyer may not retain both a refund and duplicate chargeback recovery for the same amount.
The Secure Shopping and Payments page explains Sofitrek's current payment and account-security practices.
10. Taxes and exemption documents
Sofitrek collects sales or use tax where it is registered and required to collect it. The buyer is responsible for taxes, duties, fees, and reporting obligations not collected by Sofitrek.
A buyer claiming exemption must provide valid documentation before the applicable transaction and must use the purchase consistently with the exemption. Sofitrek may reject, expire, or request renewal of an exemption record.
11. Shipping, delivery, and delays
Available services, charges, destinations, processing estimates, and international disclosures are governed by the Shipping Policy and the accepted order.
Delivery estimates are not guarantees unless expressly stated. Sofitrek will provide legally required notice and choices when it cannot ship within an applicable promised period.
Title and risk of loss are determined by the accepted shipping term and applicable law. Nothing in this section eliminates a valid claim for wrong item, shortage, material misdescription, transit damage, or a non-waivable consumer right.
12. International orders, import, and export
International transactions are subject to destination availability, customs, tax, carrier, sanctions, export, end-user, end-use, diversion, and licensing review.
Unless Sofitrek expressly agrees to collect a charge, the recipient is responsible for import duties, VAT, GST, customs fees, brokerage, clearance, and destination-country requirements.
The buyer must comply with the Export Compliance Policy, must not conceal the ultimate destination or end use, and must not export, reexport, transfer, resell, or use a product in violation of law.
13. Returns, refunds, and product assurance
The Returns and RMA Policy, Refund Policy, and Product Assurance are incorporated into these Terms.
Returns require authorization. The standard request period is 30 calendar days after delivery unless a product-specific term or mandatory law provides otherwise.
Sofitrek may inspect or test a returned item to evaluate identity, condition, handling, and the claim. Returned items must be the same items supplied by Sofitrek.
14. Warranties
Sofitrek provides the assurance stated in Product Assurance. A longer product or service warranty applies only when expressly stated in writing.
To the maximum extent permitted by law, and except for an express written warranty or non-waivable right, products and website services are provided "as is" and "as available." Sofitrek disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent those warranties may lawfully be disclaimed.
Some jurisdictions do not allow certain warranty exclusions, so the exclusions may not apply to the extent prohibited.
15. Buyer qualification and application responsibility
You are responsible for determining that the product, specification, condition, documentation, software, firmware, qualification, and regulatory status are suitable for your design, process, resale, repair, or other use.
Sofitrek does not know every application and does not approve a design merely by answering a product question. Any technical suggestion, cross reference, or alternative remains subject to your independent verification and qualification.
Products are not represented as qualified for aerospace, defense, medical, life-support, automotive safety, nuclear, transportation control, or another high-consequence application unless the transaction expressly includes the required qualification, traceability, testing, and written approval.
16. Proper handling and use
You must store, handle, install, program, solder, operate, and maintain products using appropriate ESD, moisture, thermal, electrical, mechanical, environmental, safety, and manufacturer controls.
You may not use the products or service for unlawful activity, harmful surveillance, prohibited weapons activity, sanctions evasion, unauthorized access, infringement, fraud, or a prohibited end use.
17. Website conduct
You may not:
- interfere with website operation or security;
- access an account, record, system, or data without authorization;
- scrape, crawl, or automate requests in a way that violates published controls or unreasonably burdens the service;
- upload malware or destructive content;
- evade rate limits, authentication, payment, export, or fraud controls;
- submit false reviews, orders, returns, claims, or compliance information;
- copy or use content in a way that infringes rights or misleads others about affiliation.
Good-faith security research must follow the instructions in Secure Shopping and Payments.
18. Intellectual property and trademarks
The Sofitrek name, website design, original text, software, and compilations are protected by applicable intellectual-property laws. These Terms give you a limited, revocable right to use the website for legitimate browsing and transactions.
Manufacturer content, trademarks, datasheets, and images remain subject to their owners' rights. Their presence does not grant a license beyond lawful product identification and use of the linked material under its own terms.
19. Third-party services and links
The website may use or link to Stripe, carriers, address tools, manufacturer sites, datasheets, videos, document hosts, and other third parties. Their services can be unavailable, changed, or governed by separate terms.
Sofitrek is not responsible for third-party content or independent acts merely because a link or integration appears on the website. This does not remove Sofitrek's responsibility for its own obligations under an accepted order or applicable law.
20. Limitation of liability
To the maximum extent permitted by law, Sofitrek will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost production, lost data, loss of use, substitute procurement, or business interruption arising from the website or a product.
To the maximum extent permitted by law, Sofitrek's aggregate liability arising from a product or order will not exceed the amount paid to Sofitrek for the product or order giving rise to the claim.
These limitations do not apply where prohibited, including liability that cannot be limited for fraud, willful misconduct, gross negligence where non-waivable, death or personal injury, or mandatory consumer rights.
Buyers should maintain backups, spares, incoming inspection, qualification, and business-continuity controls appropriate to the consequence of a component failure or delay.
21. Indemnity for unlawful conduct
To the extent permitted by law, a business user agrees to defend and indemnify Sofitrek against third-party claims, penalties, and reasonable costs arising from that user's unlawful use, sanctions or export violation, fraudulent return, infringement, unauthorized modification, or material breach of these Terms.
This section does not require a consumer to indemnify Sofitrek where prohibited and does not cover Sofitrek's own fraud, willful misconduct, or liability that cannot be shifted.
22. Events beyond reasonable control
Sofitrek is not responsible for delay or failure caused by an event beyond reasonable control, such as carrier disruption, natural disaster, fire, flood, war, terrorism, epidemic, labor action, utility or network failure, cyberattack, government action, embargo, supplier failure, or widespread service outage.
Sofitrek will still provide notices, cancellation choices, refunds, and other remedies required by applicable law.
23. Governing law and forum
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except that mandatory consumer law in the buyer's location may apply.
To the extent a dispute may lawfully be assigned to a forum, the state and federal courts serving Orange County, California will have jurisdiction. This section does not prevent a consumer from using a forum or remedy that applicable law makes available and non-waivable.
These Terms do not require arbitration and do not contain a class-action waiver.
24. Electronic communications
You consent to receive transaction, account, security, policy, and legal communications electronically at the contact information provided. You are responsible for keeping that information current.
Electronic records and signatures may be used to the extent permitted by law. You may request a copy of an order or policy record through the account or support channel.
25. Changes to these Terms
Sofitrek may update these Terms prospectively. The public page shows the current publication or review date.
The revision recorded with an accepted website order continues to govern that order unless the parties lawfully agree to a change or mandatory law requires another result. Continued use of the website after an updated revision becomes effective constitutes acceptance for later website use, not retroactive consent to a changed purchase term.
26. Severability, waiver, and assignment
If a provision is unenforceable, it will be applied to the maximum lawful extent and the remaining provisions remain in effect.
Failure to enforce a provision once is not a waiver. You may not assign an accepted order or these Terms without Sofitrek's consent when assignment would materially change risk, destination, end user, payment, or obligations. Sofitrek may assign rights and obligations as part of a lawful business transfer, subject to applicable privacy and consumer protections.
27. Entire agreement and order of precedence
For a particular transaction, the agreement consists of:
- a separately signed written agreement, if any;
- the accepted product-specific quotation or order confirmation;
- the product-specific listing terms;
- these Terms and the incorporated policies;
- other general website content.
A later item in the list does not override a conflicting earlier item. Buyer purchase-order terms do not apply unless Sofitrek expressly accepts them in writing.
28. Contact
Questions about these Terms may be sent through the Contact and Help Center or to info@sofitrek.com.
